By accessing and using the Seed platform ("Service"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.

2. Description of Service

Seed is a peer-to-peer incubator platform that connects project founders with contributors. The platform facilitates equity-based collaboration where contributors receive shares in projects in exchange for their work on deliverables.

3. User Accounts

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized use of your account
• Accept responsibility for all activities under your account

4. Equity and Shares

The shares and equity percentages displayed on Seed represent agreements between project owners and contributors. Seed facilitates these agreements but does not guarantee the legal enforceability of any equity arrangements. Users are responsible for formalizing equity agreements through appropriate legal channels.

5. Platform Fee

Seed retains a 2.5% equity stake in all projects created on the platform. This fee supports the operation and development of the Service.

6. User Conduct

You agree not to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Submit false or misleading information
• Harass, abuse, or harm other users
• Attempt to gain unauthorized access to the Service
• Use the Service for any illegal or unauthorized purpose

7. Intellectual Property

Users retain ownership of content they create and submit to projects. By contributing to a project, you grant the project owner a license to use your contributions as part of the project.

8. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind. We do not guarantee that the Service will be uninterrupted, secure, or error-free.

9. Limitation of Liability

Seed shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

10. Changes to Terms

We reserve the right to modify these terms at any time. Continued use of the Service after changes constitutes acceptance of the new terms.
